Welcome to GULP. These Terms of Use (“Terms”) govern your use of the vertical drama streaming platform, services, website (https://gulp.wtf/), and branded mobile/TV applications (together, the “Service”) operated by GULP STUDIOS LLC (“we”, “us”, or “our”).
By creating an account, subscribing, or using the Service, you agree to be bound by these Terms, including the **binding arbitration clause** and **class action waiver** outlined in Section 10. If you do not agree to these Terms, do not access or use the Service.
1. Eligibility and Account
You must be at least 16 years of age to create an account and use the Service. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
You agree to provide accurate, current, and complete information during registration and keep your account details secure. You are solely responsible for all activities that occur under your account credentials. Notify us immediately at help@gulp.wtf if you suspect any unauthorized account access.
2. Subscriptions, Payments, and Cancellations
Billing: The Service offers subscription-based access. By subscribing, you authorize us (or our authorized third-party payment processors) to charge the subscription fee plus applicable taxes to your designated payment card.
Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel your subscription before the renewal date.
Cancellation: You can cancel your subscription at any time via your account settings page. Cancellations take effect at the end of the current billing cycle, and no refunds are provided for partial periods.
3. User-Generated Content (UGC) Liability
User Content: The Service may allow users to post comments, participate in forums, or share reviews (“User Content”). You retain ownership of your User Content. However, by posting User Content, you grant GULP a worldwide, royalty-free, perpetual, irrevocable, transferable license to host, display, reproduce, and distribute your content across the Service.
Liability Safe-Harbor: Under Section 230 of the Communications Decency Act and applicable regulations, GULP acts solely as a distributor and is not liable for any User Content. You are entirely responsible for the legality, accuracy, and decency of your User Content.
Prohibited Content: You agree not to post User Content that is illegal, defamatory, threatening, infringing on intellectual property, obscene, or promoting harassment. We reserve the absolute right to remove any content at our sole discretion.
4. DMCA Copyright Notice & Takedown Policy
If you believe that any material on the Service infringes upon your copyright, you may submit a notification under the Digital Millennium Copyright Act (DMCA) by providing our Designated Copyright Agent with the following information in writing (see 17 U.S.C § 512(c)(3) for details):
- A physical or electronic signature of the copyright owner or authorized representative;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material claimed to be infringing and where it is located;
- Your address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material is unauthorized;
- A statement, under penalty of perjury, that the information in your notice is accurate.

5. Intellectual Property
All contents, videos, series, graphics, design, logos, and code on the Service are the exclusive property of GULP or its licensors and are protected by copyright, trademark, and other laws. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and stream content for personal, non-commercial entertainment.
6. Indemnification
You agree to defend, indemnify, and hold harmless GULP, its parents, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your posting of User Content.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GULP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICE. GULP'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GULP FOR SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Dispute Resolution: Binding ICC Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with GULP, including its formation, validity, or breach, shall be referred to and finally resolved by binding arbitration administered by the **International Chamber of Commerce (ICC)** under its Rules of Arbitration.
Procedure & Venue: The arbitration shall be conducted by a single arbitrator appointed in accordance with the ICC Rules. The seat of the arbitration shall be Wilmington, Delaware, and the language of the proceedings shall be English. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND GULP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative class action.
Governing Law: These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
9. Changes and Severability
We reserve the right to modify these Terms at any time. Updates are effective upon publication. If any provision of these Terms is found invalid or unenforceable by an arbitrator or court, that provision will be severed, and the remaining provisions will remain in full force and effect.
